Services Agreement

This Services Agreement ("Agreement") sets out the terms on which Gabbi Pty Ltd ABN 35 698 322 842 ("Gabbi", "we", "us") provides website design, build, hosting and ongoing care to you ("you", "the client").
By ticking "I agree to the Services Agreement" at checkout and completing payment, you accept this Agreement, and it takes effect on that date. Your acceptance and payment are recorded by our payment provider, Stripe.
1. Services
1.1 Setup. The one-off setup fee covers the design, build and launch of your new or redesigned one-page website. Where we are taking over an existing website, this includes a full redesign and structural overhaul as required. Your setup includes custom design, a mobile-responsive build, deployment to managed hosting, Google Business Profile setup, business email at your domain, basic analytics, and up to two rounds of revisions before launch.
1.2 Free preview. Before you commit, we provide a free working preview of your website at no cost and with no obligation. The preview remains our property until you proceed to a paid plan, and may not be published, copied or used unless you sign up.
1.3 Timeline. We aim to have your site live within 7 days of you approving the design. This depends on you providing the content, materials and approvals we need promptly; delays in providing these may extend the timeline.
1.4 Monthly services. The monthly fee covers website hosting, security monitoring, software updates, weekly backups, uptime monitoring, domain registration fees (where arranged through us), business email, reasonable content updates, and technical support responded to as soon as possible.
1.5 Exclusions. Not included are third-party software licences beyond what is agreed, content creation or photography, and substantial redesigns, additional pages or new functionality beyond your original plan. Out-of-scope work will be identified in advance and quoted separately.
2. Fees and payment
The setup fee is a one-off charge of $399 plus GST.
The monthly fee is $149 per month plus GST.
All amounts are exclusive of GST. GST of 10% is added to each invoice, and we issue a valid tax invoice for every amount payable.
All payments are processed via Stripe. By completing checkout, you consent to Stripe billing and authorise recurring monthly charges.
The setup fee is charged upfront via Stripe when you sign up, before work begins. The monthly fee commences from your go-live date and is charged monthly in advance on the same date each month.
If a Stripe payment fails, we'll notify you. If it isn't resolved within 7 days, your services may be suspended until payment is received.
Monthly fees may be adjusted with 30 days' written notice. If you don't accept the change, you may cancel under clause 4.
3. Your responsibilities
You agree to: provide accurate information and required materials in a timely manner; ensure all content you supply is lawful, accurate and does not infringe third-party rights; maintain a valid Stripe payment method; not use the website for anything unlawful, misleading or harmful; and notify us promptly of any website issues. You are responsible for the accuracy of the content you ask us to publish.
4. Term, cancellation and termination
4.1 This Agreement begins on the date you accept it and continues month-to-month. There is no lock-in contract: you may cancel at any time by written notice, and cancellation takes effect at the end of your current billing period.
4.2 Pause. You may pause your plan once in any 12-month period, for up to two months, by written notice. While paused, monthly billing stops and your website is taken offline; your content is retained and your domain remains yours. Your plan resumes on your written request.
4.3 We may terminate this Agreement with 30 days' written notice, or immediately if you fail to resolve a failed Stripe payment within 14 days, materially breach this Agreement without remedy within 7 days of notice, or become insolvent.
4.4 On cancellation or termination: all outstanding fees are immediately due; the Stripe subscription is cancelled; your website goes offline and hosting and email cease at the end of the final billing period; your domain remains yours (clause 5.1); your website content files are provided within 14 days of request; and we will take reasonable steps to assist in transferring control of the domain to you or your nominated provider.
5. Domain and intellectual property
5.1 Domain. Your domain name is registered or transferred in your name and always remains your property, including after cancellation or termination.
5.2 Your ownership. You own all content and materials you supply. Once your setup fee and first monthly fee are paid, you own the published content of your website — your text, your images, and the final design as delivered.
5.3 Our ownership. We retain ownership of our underlying tools, templates, components, code libraries, systems and know-how used to build websites. Third-party assets remain subject to their own licences.
5.4 Portfolio. We may showcase your completed website as an example of our work unless you ask us in writing not to.
6. Liability
Nothing in this Agreement excludes, restricts or modifies any guarantee, right or remedy under the Australian Consumer Law. To the maximum extent permitted by law: our total liability is limited to the fees you have paid in the 3 months prior to the claim; we are not liable for indirect or consequential loss (including loss of profits, business or data); and we are not liable for downtime or issues caused by third-party platforms or circumstances outside our reasonable control.
7. Privacy
We handle your personal information in accordance with our Privacy Policy, which forms part of this Agreement.
8. General
This Agreement is governed by the laws of Victoria, Australia. It constitutes the entire agreement between the parties and may only be amended in writing. Each party is an independent contractor. If any provision is unenforceable, the remainder continues in force. Disputes will first be addressed by good-faith negotiation, then mediation in Victoria, before any legal proceedings.
